The 2019 annual ESOP Professionals’ Forum, hosted by The ESOP Association, drew more than 250 participants over two days in mid-February. The event is the only conference designed exclusively for professionals who provide technical and legal assistance to employee stock ownership plan (ESOP) companies.

The first day comprised ESOP Association committee meetings, including Administration, Finance, Valuation, Legal & Regulatory and Fiduciary. Attendees then gathered for the start of the conference, where topics of interest were discussed and debated, such as company policies on unsolicited offers and the effect of new revenue recognition and lease accounting requirements.

The second day’s agenda featured many hot topics in the ESOP community. Attendees enjoyed a lively discussion around the United States Department of Labor regulatory environment, plaintiffs’ suits and trustee protections such as earnouts and clawbacks. Other subjects included re-leveraging and other repurchase obligation strategies, new trends in transaction structures, company indemnification and arbitration and the need for legal opinions for bankers and insurance carriers.
