On March 30, 2022, the SEC proposed rules covering special purpose acquisition companies (SPAC) for initial public offerings (IPO) and business combinations with private operating companies (de-SPAC transactions). The rules would better align the procedural and disclosure requirements for de-SPAC transactions more closely with those for IPOs. This article provides details on the proposal.
